1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and NeoSolid Labs ("Company," "we," "us," or "our"), a coaching and training organization registered in Japan (Registration No: 48577400).

By accessing our website at https://neosolidlabs.pro, scheduling a consultation, or purchasing our coaching services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our website or services.

2. Services Description

2.1 Coaching Services

NeoSolid Labs provides professional coaching services in the following areas:

• Interview preparation and coaching
• Public speaking training and mastery
• Professional communication skills development
• Corporate training programs
• Individual and group coaching sessions

2.2 Service Delivery

Services may be delivered through:

• In-person sessions at our Osaka location
• Virtual sessions via video conferencing platforms
• Hybrid combinations of in-person and virtual delivery

The specific delivery method will be agreed upon during the consultation process.

2.3 Nature of Services

Our services are educational and developmental in nature. We provide coaching, training, and skill development, not guaranteed employment outcomes, job offers, or specific career results.

3. Registration and Eligibility

3.1 Age Requirement

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you meet this age requirement.

3.2 Account Information

When registering for services, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Consultation and Booking Process

4.1 Free Initial Consultation

We offer a complimentary 30-minute initial consultation to assess your needs and determine service fit. This consultation does not obligate either party to proceed with paid services.

4.2 Service Agreements

Upon agreeing to paid services, you will receive a service agreement outlining:

• Specific services to be provided
• Number and duration of sessions
• Fees and payment schedule
• Cancellation and rescheduling policies
• Any special terms or conditions

4.3 Scheduling

Sessions are scheduled by mutual agreement. We will make reasonable efforts to accommodate your preferred times, subject to coach availability.

5. Fees and Payment

5.1 Pricing

Service fees are as quoted during your consultation or as specified in your service agreement. Prices are subject to change, but any changes will not affect services already purchased.

5.2 Payment Terms

• Payment is due prior to service delivery unless other arrangements are specified in writing
• We accept payment via credit card, bank transfer, or other methods as specified
• For multi-session packages, payment plans may be available upon request
• All fees are quoted in the currency specified at time of purchase

5.3 Late Payment

If payment is not received by the due date, we reserve the right to suspend services until payment is received. Late payments may incur additional fees as specified in your service agreement.

5.4 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for paying all applicable taxes associated with your purchase.

6. Cancellation and Rescheduling

6.1 Client Cancellation of Sessions

• 24+ Hours Notice: Sessions may be rescheduled without penalty
• Less than 24 Hours Notice: Session may be forfeited or subject to a rescheduling fee
• No-Show: Full session fee applies with no rescheduling option

6.2 Company Cancellation

If we need to cancel or reschedule a session, we will provide as much notice as possible and work with you to find an alternative time. If we cannot accommodate a rescheduling, a full refund for that session will be provided.

6.3 Program Cancellation

Cancellation of multi-session programs is subject to our Refund Policy. Please refer to our separate Refund Policy document for complete details.

7. Client Responsibilities

As a client, you agree to:

• Arrive on time for scheduled sessions (or log in on time for virtual sessions)
• Complete any assigned preparation or homework
• Actively participate in coaching sessions
• Provide honest feedback about your progress and challenges
• Maintain professional and respectful communication
• Take responsibility for implementing strategies discussed
• Inform us of any concerns or issues promptly

8. Intellectual Property

8.1 Company Materials

All content, materials, and resources provided during coaching sessions, including but not limited to:

• Presentation materials and handouts
• Frameworks and methodologies
• Video recordings of sessions (if provided)
• Written feedback and assessments
• Proprietary coaching techniques

remain the intellectual property of NeoSolid Labs. You may use these materials for your personal development but may not reproduce, distribute, or commercialize them without written permission.

8.2 Website Content

All website content, including text, graphics, logos, images, and software, is the property of NeoSolid Labs and protected by copyright laws. Unauthorized use is prohibited.

9. Confidentiality

9.1 Client Confidentiality

We maintain strict confidentiality regarding all information shared during coaching sessions. We will not disclose your personal information or session content to third parties without your consent, except as required by law.

9.2 Exceptions

Confidentiality may be breached in circumstances including:

• Legal requirements or court orders
• Risk of harm to yourself or others
• Suspected illegal activity

9.3 Testimonials and Case Studies

We may request permission to use anonymized information about your progress as testimonials or case studies. Such use will only occur with your explicit written consent.

10. Limitation of Liability

10.1 No Guaranteed Outcomes

While we are committed to providing high-quality coaching services, we cannot and do not guarantee specific results, including but not limited to:

• Job offers or employment
• Salary increases or promotions
• Specific performance improvements
• Business outcomes or success

Your results depend on many factors including your effort, circumstances, and external factors beyond our control.

10.2 Liability Limitation

To the maximum extent permitted by law, NeoSolid Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to:

• Loss of profits or revenue
• Loss of business opportunities
• Emotional distress
• Loss of data or information

Our total liability for any claims arising from our services shall not exceed the amount you paid for the services in question.

10.3 Professional Advice Disclaimer

Our coaching services are educational in nature and do not constitute:

• Legal advice
• Financial advice
• Medical or mental health counseling
• Psychotherapy or clinical treatment

If you require such professional services, we recommend consulting appropriate licensed professionals.

11. Indemnification

You agree to indemnify, defend, and hold harmless NeoSolid Labs, its officers, employees, coaches, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content you provide to us

12. Termination

12.1 Termination by Client

You may terminate your service agreement at any time, subject to the cancellation and refund terms specified in your agreement and our Refund Policy.

12.2 Termination by Company

We reserve the right to terminate or suspend services if:

• You breach these Terms or your service agreement
• Payment obligations are not met
• You engage in abusive, threatening, or inappropriate behavior
• We believe continuation would be harmful or unproductive

In such cases, refunds will be provided only at our discretion.

13. Dispute Resolution

13.1 Informal Resolution

If you have any concerns or disputes regarding our services, please contact us first at [email protected]. We are committed to resolving issues amicably and will make good faith efforts to address your concerns.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in Osaka, Japan, and you consent to the jurisdiction of such courts.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.

For material changes, we will make reasonable efforts to notify active clients via email or during scheduled sessions.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with your service agreement and our Privacy Policy, constitute the entire agreement between you and NeoSolid Labs regarding our services and supersede all prior agreements and understandings.
